1. Who we are
These Terms of Use ("Terms") govern your access to and use of memwy.com and related services (collectively, the "Service"). The Service is operated by Aphelion Labs ("Aphelion Labs," "we," "us," or "our"), the company behind memwy.
By using the Service, booking a call, or engaging us for work, you agree to these Terms. If you do not agree, do not use the Service.
2. What memwy is
memwy is an invite-only community strategy and enablement consultancy. We build client-owned communities and teach client teams how to participate transparently wherever their users already talk. We do not sell placements, bot traffic, fake engagement, paid upvotes, or undisclosed endorsements.
The website is primarily informational. Access to our services is by invitation or mutual agreement following an introductory call.
Communities founded or moderated by our personnel are credentials only. They are not inventory for client campaigns. An Engagement never buys access, mentions, favorable treatment, or moderation decisions in those communities.
3. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service or engage us. If you are using the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.
4. Engagements and proposals
Any paid work is governed by a separate written agreement, proposal, statement of work, or invoice terms between you and Aphelion Labs (an "Engagement"). If there is a conflict between these Terms and an Engagement, the Engagement controls for that work.
Booking a call does not create an Engagement. We may decline or discontinue conversations at our discretion.
5. Acceptable use
You agree not to:
- Use the Service for unlawful, deceptive, or abusive purposes
- Attempt to scrape, reverse engineer, or interfere with the website or its infrastructure
- Misrepresent your identity, affiliation, or the nature of your product when engaging with us
- Request or pressure us to violate Reddit's rules, community guidelines, or applicable law
We may suspend or terminate access to the Service if we reasonably believe these Terms have been violated.
6. Reddit and third-party platforms
Our work involves public platforms we do not control, including Reddit. Platform rules, algorithms, moderation decisions, and availability can change without notice. We cannot guarantee specific rankings, upvote counts, AI citations, traffic, revenue, or other outcomes.
You remain responsible for your brand, product claims, and compliance with advertising, consumer protection, and platform rules applicable to your business.
7. Intellectual property
The memwy name, logos, site design, copy, and other content on this website are owned by Aphelion Labs or its licensors. You may not copy, modify, or redistribute them without our prior written consent, except as allowed by fair use or applicable law.
Deliverables created under an Engagement are owned as specified in that Engagement. Unless otherwise agreed, we retain the right to reuse general methods, know-how, and anonymized learnings.
8. Confidentiality
If either party shares non-public business information in connection with a prospective or active Engagement, the receiving party will use reasonable care to protect it and not disclose it except as needed to perform the work, as required by law, or with prior consent. This does not apply to information that is public, independently developed, or already known without a confidentiality duty.
9. No warranties
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website will be uninterrupted, error-free, or free of harmful components.
10. Limitation of liability
To the fullest extent permitted by law, Aphelion Labs and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising from or related to your use of the Service.
Our aggregate liability for claims arising out of these Terms or the Service will not exceed the greater of (a) the fees you paid us for the Engagement giving rise to the claim in the three months before the claim, or (b) one hundred US dollars (USD $100), except where liability cannot be limited by law.
11. Indemnity
You agree to indemnify and hold harmless Aphelion Labs from claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the Service, your product or marketing claims, or your breach of these Terms or an Engagement.
12. Links and third-party tools
The Service may link to third-party sites or tools (for example, scheduling software). Those services have their own terms and privacy practices. We are not responsible for their content or policies.
13. Changes
We may update these Terms from time to time. The "Last updated" date at the top of this page will change when we do. Continued use of the Service after changes means you accept the revised Terms. Material changes that affect an active Engagement will be communicated as required by that Engagement.
14. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-law rules. Courts located in India will have exclusive jurisdiction over disputes arising from these Terms, unless an Engagement specifies otherwise.
